TERMS & CONDITION - Vendor

• First Party is intermediate for providing web portal and web application services for booking slots of different games registered in our platform and Second Party is providing platform to customers for playing.
• Both the parties desire to agree the terms of Agreement to avoid future misunderstanding.
• First Party will carry same type of assignment with any other party.
• Second Party will allow to First Party to keep hoardings, Posters for downloading First Party’s Application and other offers regularly at platform/gaming Places and no charges shall be charged from the First Party and First Party will bear the cost for making posters.
• Second party will receive proper accounting of the transactions made by customer and will be able to see outstanding amount with first party in Accounting ledger in Vendor's Application.
• If any customer of the First Party has caused any physical damage to premises of the Second Party, then the customer has to bear the damage expenses and the First Party will not be held liable to pay any expense mentioned above.
• If any customer suffers any inconvenience at premises of the Second Party, then Second Party will be responsible.
• Second Party needs to update its offline bookings and registration of their customers in our application
• Second party should inform atleast 48 hours before to First Party to edit time slot, dates and other details in the application.
• Second party will receive only principal amount of booking from First Party on every Monday in their bank account. ( If its Bank holiday on Monday then money will be given on next working day from Monday)
• Principal amount means the amount Second Party charges from their offline customer for booking and registration for the particular game.
• Customers making payment will get reflected in Accounting Ledger in Vendor's Application where second party can check the outstanding payment to be collected from first party.
• If there is any technical issue from the Second Party, then said party will refund the principal amount of the customer’s booking.
• Any type of dispute is subject to Ahmedabad Jurisdiction.
• Second Party will require to keep update slot availability in the Application/Website. Second party needs to manually book the slot for offline customers in Vendor's Application.
• Second Party will allow other party’s customers to play and avail the services of former party’ platform after receiving confirmation with booking ID by former party and provide him the value added services like food and beverages he purchased from First party’s application.
• First Party will try to increase customers by organizing tournaments and other combo offers.
• If customer comes late by 10 Minutes or more with respect to the slot he has booked, Second Party will let him allow to play whenever the slot is available. And if customer disagrees, then he won’t get any refund for the slot booking. His booking will be cancelled automatically.
• If customer reports on the particular booked slot time at platform of the Second Party, then he must get to play within maximum 15 minutes after reporting.
• Second Party needs to Check-In customers Booking ID in vendor's application when customer reports to play at Second Party premises.
• Second Party needs to allow customer for coaching at Second Party’s premises who has registered in the First Party platform for the respective slots.
• Second Party should consider customer’s registration for the respective slot customer has registered in the First Party’s platform.
• Second Party needs to register upcoming offline registrations of customers in the Vendor Application of First Party’s platform .
• Second Party needs to check in customer’s registration at the Vendor Application of First Party’s platform when customer reports for coaching for the first time.
• Without confirmation from customer, Second Party cannot make any changes in the customer’s registration which is registered in First Party’s platform.
• If Second Party chose to Edit Time, Date and Limit person in the batches then changes will be at Second Party's own risk.
• Vendor cannot edit User limit in a batch less then the number of user which have registered in a particular batch.
• First Party will try to increase customers by organizing tournaments at Second Party's premises.
• Second Party need to Check-In in vendor's application before they start the tournament.
• Second party needs to register offline registrations of customers in the Vendor Application.
• Second party cannot cancel the tournament if the customers have already registered for the particular tournament. If for any technical reason needs to cancel the tournament then Second party needs to refund booking amount of each customers to First Party within 24 hrs.
If Tournaments are organized by the First Party at platform of the Second Party:
• Second Party should not have any objection with the First Party for organizing tournament at second party premises
• Second Party will receive only Principal Amount of Game they charged on regular basis from their customers (Second Party will receive money from the First Party within 24 hours working day from the last date of registration).
• First Party will not pay any extra charges other than principal amount to the Second Party.
• Second Party needs to update the winner’s list in the vendor Application.
• Second Party will pay the rewards to the winners.( Second Party will receive the amount from the First Party within 24 hours after the Tournament Completion.
• Second Party should allow the Customer to participate in the tournament who has registered in the First Party’s Platform.
• Second Party needs to pay the balance amount of Tournament fees ( Tournament fees - Principal Amount of game Second party charge on regular basis from their customers of that particular game) to First Party within 24 hours from last date of registration. It will occur only when customer is registering offline for the tournament.
If Tournaments are organized by the Second Party at platform of the Second Party:
• Second Party needs to inform First party to list their upcoming tournaments in users Application.
• Second Party will only receive the principal amount of tournament registrations charged by them.(Second Party will receive the amount within 24 hours from the last date of registration.)
• First Party will receive only the convenience fees charged to the customers.
• First Party will not be responsible for managing tournaments. First Party responsibility is to only provide customers to the Second Party.
• Second Party needs to update the winner’s list in the vendor Application.
• Second Party should allow the Customer to participate in the tournament who has registered in the First Party’s Platform.
• Second party needs to inform last date for registration of customers for the upcoming tournament.
